TyriaCore AI Features Addendum

This AI Features Addendum ("AI Addendum") applies if the Platform provides AI Features and Customer enables or uses them.
This AI Addendum is incorporated by reference into the Agreement between Provider and Customer to the extent referenced in an Order Form or otherwise incorporated into the Agreement.
Order of precedence. If there is a conflict between this AI Addendum and the DPA regarding Personal Data, the DPA controls for Personal Data. If there is a conflict with a BAA regarding PHI, the BAA controls for PHI.
No expanded liability. Provider's limitations of liability, exclusions of damages, and remedies limitations in the Agreement apply to AI Features and AI Output.
1. Scope and Definitions
1.1 AI Features. AI Features may generate, transform, summarize, extract, classify, recommend, or otherwise produce outputs using machine learning or artificial intelligence. AI Features may be enabled, configured, limited, or disabled by Provider and/or Customer as described in the Platform, Documentation, or an applicable Order Form.
1.2 Input and AI Output.
- "Input" means Customer Data, prompts, text, documents, or other information submitted to AI Features by or on behalf of Customer or Authorized Users.
- "AI Output" means any results, responses, summaries, classifications, recommendations, or other content produced by AI Features.
2. AI Output Disclaimer; No Reliance
2.1 Outputs Are Not Guaranteed. Customer acknowledges AI Output may be incomplete, inaccurate, misleading, offensive, or otherwise unreliable, and may include hallucinations. Provider does not guarantee the accuracy, completeness, or usefulness of AI Output.
2.2 No Professional Advice. AI Output is for informational purposes only and does not constitute medical, legal, tax, financial, accounting, compliance, or other professional advice.
2.3 Customer Responsibility for Review. Customer is solely responsible for reviewing and validating AI Output prior to relying on it, acting on it, distributing it, or using it in operations, and for ensuring use complies with applicable law and Customer policies.
2.4 Not Sole Basis for High-Impact Decisions. Customer will not use AI Output as the sole basis for decisions that may materially impact an individual's rights, health, safety, employment, eligibility, credit, housing, legal status, or similar high-impact determinations, unless Customer independently validates the information and is legally permitted to do so.
3. Customer Inputs; Acceptable Use; Responsibility
3.1 Inputs. Customer is responsible for (a) the legality and appropriateness of Inputs, (b) ensuring it has all rights, permissions, and consents necessary to provide Inputs, and (c) ensuring Inputs and use of AI Features comply with the Agreement and applicable law.
3.2 Data Minimization. Customer will use reasonable efforts to apply data minimization principles and avoid including unnecessary sensitive information in Inputs.
3.3 Prohibited Use. Customer will not use AI Features in a manner that violates applicable law, infringes third-party rights, or violates the Agreement's acceptable use restrictions (including the AUP).
4. Privacy, Personal Data, and HIPAA (If Applicable)
4.1 Personal Data (DPA). To the extent Inputs contain Personal Data and a DPA applies, processing in connection with AI Features is governed by the DPA.
4.2 PHI (BAA). AI Features may not be used to process PHI unless a BAA is fully executed and in effect and the use is permitted by the BAA.
4.3 Customer Responsibility for Consents and Communications. Customer is responsible for obtaining any required notices, authorizations, or consents associated with use of AI Features, including consents related to communications (email/SMS) or regulated data.
4.4 Current AI Subprocessor Posture. As of the Last Updated date, Provider's AI-enabled functionality may use OpenAI through server-side API calls for enabled AI Features. Provider will list AI subprocessors on the Subprocessor List before routing Customer Data to them as Provider-controlled AI subprocessors.
5. AI Feature Changes; Availability
5.1 Changes and Discontinuation. Provider may modify, update, limit, suspend, or discontinue AI Features at any time to maintain quality, reliability, security, compliance, vendor requirements, or for operational reasons. Provider will use commercially reasonable efforts to provide advance notice of material changes where practicable.
5.2 No SLA. Unless an Order Form expressly states otherwise, AI Features are provided without any service level agreement and are excluded from SLA/service credit obligations.
6. Warranties; Liability
6.1 Disclaimer. AI Features and AI Output are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, including warranties of accuracy, non-infringement, or fitness for a particular purpose.
6.2 Limitation of Liability Applies. Provider's limitations of liability, exclusions of damages, and remedies limitations in the Agreement apply. Without limiting the foregoing, Provider is not liable for decisions, actions, outcomes, or damages arising from Customer reliance on AI Output.
